2. Orders and Pricing: Prices, validity periods, shipping terms (Incoterms) and taxes are stated in each written quotation or order contract. Prices do not include shipping, customs duties, or applicable taxes unless explicitly stated.

3. Sample Policy: Sample fees, sample lead time and any refund or credit against bulk orders are confirmed in the quotation for each project.

4. Payment Terms: Payment terms (deposit and balance) are agreed in the order contract. Other arrangements may be negotiated for established partners.

5. Quality Assurance: Products are inspected against the approved sample and the quality standard agreed in the order contract. Quality claims must be reported within the period stated in the order contract, with photographic evidence.

6. Intellectual Property: Custom designs, patterns, and branding materials provided by clients remain their intellectual property. Jiayu Trading will not reproduce or share client-specific designs without written consent.

7. Limitation of Liability: To the extent permitted by law, our liability is limited to the value of the affected goods. We shall not be liable for indirect, consequential, or incidental damages.

8. Governing Law and Disputes: These terms shall be governed by the laws of the People's Republic of China. Disputes shall first be resolved through friendly negotiation; failing that, they shall be submitted to the competent people's court at the location of Guangzhou Jiayuda E-commerce Co., Ltd. (Guangzhou, Guangdong, China), unless otherwise agreed in the order contract.
